These Terms of Service (“Agreement” or “Terms”) constitute a legally binding agreement between you (the “Customer,” “you,” or “your”) and Erino Tech Ventures Pvt. Ltd. (“Erino,” “we,” “us,” or “our”) regarding your access to and use of the Erino Services (as defined below). By registering for, accessing, or using any of the Erino Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement (along with the Acceptable Usage Policy, Privacy Policy, and any other policies referenced herein), whether on behalf of yourself or an entity you are authorized to represent.

If you do not agree to these Terms, you must not access or use the Erino Services.
1. Definitions & Interpretation
In this Agreement, unless otherwise indicated:
  • “Erino Services” means all software, platforms, websites, APIs, mobile or web applications, integrations, modules, support, and related services provided by Erino under this Agreement.
  • “User(s)” means individuals authorized by Customer to access or use the Erino Services under Customer’s account credentials.
  • “Customer Data” means the ordering document (online or offline) executed between you and Erino specifying the scope of services, fees, term, and other commercial terms.
  • “Order Form” means the ordering document (online or offline) executed between you and Erino specifying the scope of services, fees, term, and other commercial terms.
  • “Subscription Term” means the initial and renewal periods during which you are licensed to use the Erino Services, as set out in the Order Form.
  • “Confidential Information” means nonpublic information disclosed by one party to the other, including business plans, customer lists, pricing, technology, trade secrets, and other proprietary data.
  • “Force Majeure Event” means an event beyond a party’s reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, civil unrest, governmental acts, failures of public infrastructure, or cyber-attacks not caused by the party’s negligence.
Headings are for convenience and do not affect interpretation. References to “including” or “in particular” are illustrative, not exhaustive.
2. Grant of License & Access
Subject to your compliance with this Agreement, Erino grants you during the Subscription Term a nontransferable, nonexclusive, limited right to permit Users to access and use the Erino Services for your internal business purposes in accordance with your subscription plan, documentation, and this Agreement. You may not use the services for benchmarking, external resale, time-sharing, service bureau use, or otherwise make them available to third parties (unless expressly permitted by Erino in writing).

All rights not expressly granted are reserved by Erino. No implied licenses, rights, or obligations arise beyond those explicitly stated.
3. Customer Responsibilities & Restrictions
You are responsible for the lawful and appropriate use of Erino Services, including use by your Users. You must ensure that:

  • You keep account credentials secure and restrict access to authorized Users only.
  • You prevent unauthorized access or use of the services and promptly notify Erino of any suspected security breach, misuse, or violation.
  • You maintain and comply with data privacy, consent, and recordkeeping obligations (e.g. opt-ins, unsubscribes) when using messaging, email, SMS, or telephony features.
  • You do not upload, transmit, or store any material that violates intellectual property laws, privacy rights, or contains malicious code or unlawful content.
  • You do not circumvent or disable security mechanisms, reverse engineer or decompile Erino software, or attempt to gain unauthorized access to Erino’s systems. You do not use Erino Services in any way that interferes with or impairs third parties’ systems or network infrastructure.
Erino may refuse to provide service or suspend your access if it reasonably believes you violate obligations here or in referenced policies.
4. Order Forms, Fees & Payment
All services, pricing, payment terms, subscription length, usage limits, and other commercial terms are set forth in the Order Form. If there is any conflict, the terms in the Order Form govern only to the extent of the inconsistency; otherwise, this Agreement prevails.

You agree to pay all applicable fees (including taxes) by the due date in the Order Form. Late payments may incur interest or suspension of service. Subscription fees are generally nonrefundable unless otherwise explicitly stated in writing. In the absence of a contrary provision, Erino may automatically renew your subscription for successive terms unless you provide notice as required (e.g. 30 or 45 days before renewal).
5. Proprietary Rights & License to Customer Data
You retain ownership of your Customer Data; Erino does not claim rights to it. You grant Erino a worldwide, nonexclusive, royalty-free license to use, store, process, and transmit your data as necessary to provide and support the Erino Services, and to maintain, improve, secure, and protect the platform (including anonymized analytics).

Erino retains all rights, title, and interest in its technology, software, documentation, interfaces, and Intellectual Property. You may not assert any rights in Erino’s proprietary components beyond those granted in this Agreement.
6. Confidentiality
Each party agrees to maintain the confidentiality of the other’s confidential information and not to disclose it to third parties, except to Users, affiliates, or contractors who need to know and are bound by confidentiality obligations at least as protective as this Agreement. Confidential Information may be disclosed as required by law, regulation, or court order; the disclosing party should notify the other party when permissible. These obligations survive termination or expiration of this Agreement.
7. Data Protection & Privacy
To the extent applicable, you and Erino will comply with data protection and privacy laws. When Erino acts as processor of personal data in Customer Data, processing will be governed by the Privacy Policy and a Data Processing Addendum (DPA) if required. You represent that you have obtained any consents and legal bases required for collection, use, and transfer of any personal data submitted to the Erino Services.

You are responsible for ensuring that any cross-border transfers of data comply with relevant laws and that your use of Erino Services does not violate data export restrictions.
8. Service Levels, Support & Maintenance
Erino will use commercially reasonable efforts to provide availability, support, and maintenance in accordance with your subscription plan and documented service-level commitments. We may schedule planned maintenance (with advance notice) and may temporarily degrade or suspend service. Erino shall not be liable for failures caused by factors beyond our control or by your misuse, third-party components, or force majeure events.
9. Monitoring, Auditing & Compliance
Erino has the right to monitor your usage, logs, metadata, and configurations for security, abuse detection, fraud prevention, or compliance with this Agreement and referenced policies (e.g. Acceptable Usage Policy). You must cooperate with audits or investigations and provide requested records or logs. Where discrepancies or noncompliance are found, Erino may require remediation, suspend services, or exercise other rights under this Agreement.
10. Term, Termination & Effects

11. Warranty Disclaimers & Liability Limitations
Erino Services are provided “as is” and “as available,” except as expressly warranted in writing. Erino disclaims all implied warranties (merchantability, fitness for a particular purpose, noninfringement, etc.).

To the maximum extent permitted by law, Erino’s total liability to you for all claims, whether in contract, tort, or otherwise, shall not exceed the total fees paid in the prior 3 month period (or a lower amount specified in the Order Form). In no event will Erino be liable for indirect, incidental, special, consequential, punitive, or exemplary damages (including lost profits, data loss, or business interruption), even if advised of the possibility of such damages.
12. Indemnification
You agree to indemnify, defend, and hold harmless Erino (and its officers, directors, employees, agents, and affiliates) from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from your breach of this Agreement, violation of law, misuse of Erino Services, or infringement of third-party rights. Erino reserves the right to assume control of your defense in any indemnifiable matter, and you shall cooperate fully.
13. Export Controls & Restricted Use
You shall not access or use Erino Services in violation of any export control or sanctions laws. You warrant that you are not situated in a prohibited jurisdiction and are not a sanctioned entity. You shall not permit access to the services by any person or entity subject to embargoes, trade restrictions, or legal prohibitions.
14. Modifications to the Terms & Order of Precedence
Erino may modify these Terms from time to time. Material changes will be communicated (e.g. via in-app notification or email) before becoming effective; nonmaterial changes may take effect immediately. Your continued use of Erino Services after changes is deemed acceptance. If there is any conflict among the documents governing your use (these Terms, Order Form, Acceptable Usage Policy, Privacy Policy), the order of precedence is: (1) the Order Form, (2) these Terms, (3) the Acceptable Usage Policy, then (4) the Privacy Policy and other policies.
15. Force Majeure
Neither party will be liable for delays or failures in performance resulting from a Force Majeure Event, provided the affected party gives prompt notice and uses reasonable efforts to resume performance. This clause does not excuse payment obligations.
16. Governing Law, Dispute Resolution & Venue
This Agreement is governed by the law specified in the Order Form (or, if not specified, the state / jurisdiction chosen by Erino). Any disputes arising under or relating to this Agreement will be resolved under the dispute resolution process set forth in the Order Form (for example, mediation, arbitration, or court). If no process is set, all disputes shall be resolved in courts within the agreed legal venue, and both parties consent to jurisdiction and venue there.
17. Severability & Waiver
If any provision of this Agreement is deemed invalid or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary, and the remainder of the Agreement will remain in full force and effect. No failure or delay by Erino in enforcing any right shall constitute a waiver of that right or any other.
18. Entire Agreement
This Agreement (including the Order Form(s), the Acceptable Usage Policy, Privacy Policy, and any referenced exhibits or addenda) constitutes the entire understanding between you and Erino regarding the subject matter herein. It supersedes all prior or contemporaneous agreements, proposals, or communications, whether oral or written.
19. Notices
All notices required or permitted under this Agreement must be in writing and delivered via email or certified mail to the addresses defined in the Order Form (or to support@erino.io for Erino). Notices shall be effective upon receipt (or after a short window if delayed by technical issues).
